Acceptance of Terms

These terms of service supplement but do not replace such service agreements. In case of conflict between these general terms and a specific service agreement, the service agreement shall prevail.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Generally, payment is due within 30 days of invoice date unless otherwise agreed. Late payments may incur additional charges. We reserve the right to suspend or terminate services for non-payment after appropriate notice.

Intellectual Property

The content, organization, graphics, design, compilation, magnetic translation, digital conversion, and other matters related to our website and services are protected under applicable copyrights, trademarks, and other proprietary rights. Specifically:

• All content on our website, including text, graphics, logos, and software, is the property of Xirious or its content suppliers
• Custom software and solutions developed by Xirious for clients shall be governed by the terms of individual service agreements
• Clients retain ownership of their data and content provided to us
• Xirious retains ownership of its proprietary methodologies, tools, and general knowledge
• You may not reproduce, distribute, or create derivative works from our content without express written permission

Confidentiality

We understand that in the course of providing our services, we may have access to confidential information. We commit to maintaining the confidentiality of all client information and will not disclose such information to third parties without prior written consent, except as required by law or as necessary to provide the agreed services.

Limitation of Liability

To the maximum extent permitted by applicable law, Xirious shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on the service
• Any other matter relating to the service

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to Xirious for the specific service giving rise to the claim during the twelve months preceding the claim.

Disclaimers

While we strive to provide high-quality services, our services are provided "as is" without warranty of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Indemnification

You agree to defend, indemnify, and hold harmless Xirious, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these terms or your use of our services.

Governing Law

These terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms will be brought exclusively in the courts of Ireland, and the parties hereby consent to personal jurisdiction and venue therein.

Dispute Resolution

In the event of any dispute arising out of or relating to these terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If such negotiations are unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the Irish Commercial Mediation and Arbitration Centre.

Termination

Either party may terminate the relationship under these terms with reasonable notice. Specifically:

• We may terminate or suspend your access immediately for violation of these terms
• You may stop using our services at any time
• Termination does not relieve either party of obligations incurred prior to termination
• Provisions that by their nature should survive termination shall survive, including intellectual property rights, limitation of liability, and governing law

Force Majeure

Xirious shall not be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, elements of nature, acts of God, wars, terrorism, riots, civil disorders, rebellions, or other similar causes beyond our reasonable control.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect and enforceable.

Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of any changes by posting the new terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new terms.

Entire Agreement

These terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Xirious regarding the use of our services and supersede all prior agreements and understandings.
